- The offer made is subject to the terms and conditions stated herein and this shall supersede all previous discussions, understandings, and agreements with regard to the offer.
- Any warranties or promises representation given or discussion held verbally by any person with regard to the offer that are not noted and detailed herein will not form any part of this offer.
- The price proposal/quotation provided is based on the product details shown on the quotation. The Customer must verify the product details before accepting the offer. In case of any change in the product details, a fresh quotation will be sent based on the changes suggested by the Customer. Product details will not change once the quotation is accepted by the Customer except as provided herein below. Sometimes we may need to make minor technical changes to the product specifications which are unavoidable and we will not notify you in such cases.
- The price proposal/quotation will be valid for acceptance within 60 days from the date of issuance.
- The Customer understands, acknowledges and accepts that:
- Since the product development is an ongoing process, product design and specification may vary slightly without altering the functioning in any way.
- This order shall be subject to actual measurement of window aperture by LIXIL WINDOW SYSTEMS TEAM and the product details and pricing may undergo changes post the outcome of the measurement.
- Glasses are standard bought-out items from glass processors/manufacturers. The glasses as purchased from glass vendors, are working according to the tolerance specified by the glass industries as per FOSG G101:2012 (federation of safety glass guidelines). Processed glass by its nature might have distortion within the range as specified in FOSG.
- Upon acceptance of the order, LIXIL WINDOW SYSTEMS TEAM trained Supervisor will conduct a survey of the site for final assessment of specifications provided by the Customer.
- The Customer shall be informed in case any issue is noticed during the survey.
- It be expressly understood that final production of the product will commence only after the surveyor and customer jointly sign survey confirming the size, designs, and the site readiness and customer adhere to these terms and conditions including the payment schedule.
- In case the changes in the product or price change is not accepted by the Customer post the survey.
- There is a breach of the terms & conditions or refusal to comply with statutory requirements such as building regulations etc. by the Customer.
- Dates and terms of delivery quoted are always non-binding.
- The customer shall be informed when the products are ready. In case of any delay due to any reason, the customer will be informed regarding the next earliest convenient date when product can be made available. Delivery time is 85 working days from final measurement and production payment date.
- The delivery of product is contingent on:
- The delivery of other products e.g. in the event of a special glass being requested, the delivery time shall be subject to the supply by the glass manufacturer, some special glasses may add 6-8 weeks on to standard delivery times.
- Payment by the customer: – 10 % for Order Login, 40% for production of Windows and 50% once windows are ready in our Manesar warehouse.
- Except for reasons beyond our control, the supply shall be as per the schedule as hereunder mentioned, as aluminium windows are not meant for storage. The customer shall make the complete payment before the dispatch of the product and also permit delivery immediately on intimation of readiness.
- If finished Products of order are lying at the storage premises for more than 60 days of intimation of production, then:
- The order shall stand cancelled and the advance payment made by the Customer shall stand forfeited.
- The Customer shall be liable for all costs and incidental expenses (Net of scrap value of windows).
- The customer agree that we will not be liable for any delay which arises from Force Majeure reasons and causes beyond our control for example, fire, flood, riot, earthquake, civil disturbance, strikes, criminal damage, acts of war, government restrictions, shortage of labour and non-availability of material etc.
- The freight charges have been considered as per the size of the order. If you desire deliveries in multiple lots after placing the order, additional freight charges shall be applicable. If smaller lots are desired by you for priority shipment, full truck load charge along with additional packing charges will be applicable.
- Since deliveries are made to the site in trucks and there are restrictions of truck movement in the city, the deliveries can be made only in permissible hours.
- Post basic installation, product will be at Customer’s risk. The risk will be passed to the Customer once delivered with glasses. The safety of the Products will be the customer’s responsibility.
- Once products are delivered, you will be responsible for the safety and security of material. In case of any damage or loss, replacement shall be charged to the customer. We will not be responsible for any inherent delays in arranging such replacement parts. The customer has to provide safe and secure storage for Windows Systems and glasses to be stocked at the site.
- Damage to the product due to other agencies working on site will be Customer Responsibility.
- In all cases, 100% payment has to be made before product is delivered at your site. An advance deposit has been paid, manufacturing shall not commence until at least 50% of order value has been paid. Where there is a delay in payment being received, the time schedule will not be binding on us and any quoted delivery times will also be extended to reflect the period of the delay. You will adhere to the payment schedule in all respects.
- All taxes & duties including GST will be charged at actual as applicable at the time of billing. Any change in taxes will be borne by the customer.
- Lixil Window sells its Product only through Authorized Channel partners. Lixil Window strongly recommends purchasing the Product through our Authorized Channel Partner only. Any Product purchased through unauthorized Sales Channels can be void of Warranty and aftersales services.
- Warranty is only effective if proof of purchase (original sales/purchase Tax Invoice issued by authorized channel partner) is provided at the time of service visit. In case customer is unable to produce the invoice of product, warranty terms will be applicable at the sole discretion of Lixil Window. Customers are therefore required to keep the original invoice of the product safely.
- Lixil Window or its Authorized channel partner/Representative solely can service/repair the Product.
- Lixil Window is not bound by any obligation to carry out repairs/replacement in a specified time period, while every effort will be made by Lixil Window to carry out repairs/replacement at the earliest.
- This warranty is transferrable and not confined to the original purchaser/first purchaser of the product only.
- Warranty Period shall not be extended for any reason whatsoever including but not limited to:
- In case the Product has not been installed after purchase or has not been in use for any part or whole of the Warranty Period.
- Due to time consumed for the repair/replacement of parts including transit of the Product.

7. CANCELLATION OF ORDER
It is clearly understood and agreed that the product under this offer is customized for as per the requirement of the customer and once offer is accepted cancellation of order is not permitted, except for reasons stated herein below:
In case of cancellation of order, for any reason whatsoever, the Customer shall be liable to pay the cost incurred and any such cost shall be recoverable from the advance received from the Customer.

Warranties to repair or replace (at the sole discretion and judgment of the LIXIL Window/ manufacturer) shall be free of charge for one year on hardware and ten years on profile from the date of invoice. Glass does not carry any warranty, after glass has been fitted & inspected by customer. Warranty includes repairing of defective Product/parts and does not apply to damage of Products resulting from abnormal use, misuse, abuse, neglect or accident.
During the Warranty Period if (in the opinion of the manufacturer) the defect is due to defects in the material or workmanship, the manufacturer or its Authorized Service Franchisee/Representative will, at its sole discretion, repair or replace free of cost, any defective component or part of the product, subject to the terms and conditions described below:
12. Packing and Cleaning
Packing and Cleaning will be charged at Rs 40 per sq ft if required and mutually agreed by both parties.
13. Scaffolding
Scaffolding will be in Client scope if required.
14. Price Validity
The Price validity is for 6 Months (180 Days) Period from the day the contract is signed.
15. ENTIRE AGREEMENT
These terms and conditions constitute the entire agreement between us. No agreements, representations, or warranties other than those specifically set forth herein shall be binding on any of the parties unless set forth in writing and signed by both parties.
